    NIVEA X LOLLA INDIA – “Baddie But Softie / Always Fresh Ready” ("Campaign")

  2. Campaign Overview

    This campaign comprises the following activities:

    1.   A digital skill-based contest

    2.   On-ground Booth-Based Gratification Activity

    3.   On-ground Skill-Based Content Contest

    Each activity is governed by these Terms & Conditions:

    NIVEA India Private Limited, having its registered office in India. (“NIVEA”)

  5. Eligibility

    i.)   The Campaign is open to Indian residents aged 18 years and above who are legally competent to contract under apppcable law.

    ii.)   Employees of NIVEA, its group companies, affiliates, agencies, and their immediate family members are not eligible to participate.

    iii.)  Participation is voluntary and free of cost

    PART A – DIGITAL CONTEST (LOLLAPALOOZA TICKETS)
  6. Digital Contest Mechanics

    i.   Eligible participants may access the website and provide required details such as name, mobile number and/or other information as prompted.

    ii.   Participants may upload a photograph/selfie. The uploaded image is not altered; only backgrounds and creative elements are applied to generate the final output.

    iii.   Based on user inputs, the platform generates a personalized digital output, including a customized audio track and visual asset.

    iv.   Participants must follow the instructions communicated on NIVEA India’s official digital platforms, which may include:

    1. Accessing the official campaign link
    2. Completing the “Baddie But Softie” experience
    3. Uploading or sharing campaign-generated content on Instagram
    4. Tagging @niveaindia and complying with post-specific instructions

     

  7. Prize – Digital Contest

    i.   Selected participants shall be eligible to receive tickets to attend Lollapalooza India, as determined by NIVEA.

    ii.   Tickets shall be valid only for the dates specified by the event organizer and shall be:

    1. non-transferable;
    2. non-exchangeable; and
    3. not redeemable for cash or any other consideration.

     

    iii.   Any costs relating to travel, accommodation, food, or other personal expenses shall be borne solely by the winner.

  8. Winner Selection – Digital Contest

    i.   Winners shall be selected based on skill-based criteria, including creativity, originality, relevance to the campaign theme, and adherence to instructions

    ii.   The decision of NIVEA shall be final and binding

    iii.   Winners will be contacted only via NIVEA India’s official handle

    PART B – ON-GROUND BOOTH GRATIFICATION (LIP TRINKETS)
  9. Booth-Based Participation

    i.   During the Lollapalooza India event, NIVEA shall host on-ground brand experience booths (“NIVEA Booths”).

    ii.   Participants who successfully interact with any two (2) designated activities at the NIVEA Booths shall be eligible to receive festival trinkets, including lip charms, subject to availability.

  10. Booth Gratification Terms

    i.   Distribution of festival trinkets shall be on a first-come, first-served basis, subject to stock availability.

    ii.   Participation does not guarantee receipt of any gratification.

    iii.   NIVEA reserves the right to modify, substitute, limit, or discontinue the distribution of trinkets at its sole discretion.

    PART C – ON-GROUND SKILL-BASED CONTEST (IPHONE)
  11. On-Ground Content Contest Mechanics

    To participate, individuals must:

    i.   Create original, fun, and innovative content at the NIVEA Soft booth

    ii.   Post the content on Instagram

    iii.   Tag @niveaindia

    iv.   Comply with instructions communicated at the event or on NIVEA’s official social media pages

  12. Prize – On-Ground Contest

    i.   The prize for the on-ground content contest shall be an iPhone, the model and specifications of which shall be determined solely by NIVEA

    ii.   The prize shall be non-transferable, non-exchangeable, and not redeemable for cash

    iii.   NIVEA reserves the right to substitute the prize with another item of equivalent or greater value, at its discretion

  13. Winner Selection – On-Ground Contest

    i.   Winners shall be selected based on skill-based evaluation, including creativity, originality, and relevance

    ii.   This contest does not constitute a lottery, gambling activity, or game of chance

    iii.   Winners will be announced on NIVEA India’s Instagram page @niveaindia between ___________

    iv.   NIVEA’s decision shall be final and binding

  14. Campaign Technology Partner

    i.   The digital microsite used for the “Baddie But Softie” experience, including the generation of personalized audio-visual outputs and the collection of participant data through such microsite, is developed and operated by Xtendr, acting solely as a technology and data processing service provider on behalf of NIVEA.

    ii.   For the avoidance of doubt, Xtendr is not the promoter or organiser of the Campaign and does not control or determine contest mechanics, winner selection, prize allocation, or prize fulfilment.

  15. Intellectual Property & Rights

    i.   All campaign concepts, lyrics, audio tracks, visual outputs, designs, formats, and creative assets are original works created for NIVEA.

    ii.   The lyrics used in the audio outputs are owned by NIVEA, and NIVEA retains full rights to modify, adapt, reuse, and exploit the same for current and future campaigns.

    iii.   Certain audio outputs are generated using AI music tools under valid commercial usage licenses obtained by Xtendr. As per the applicable ownership and licensing confirmations, all rights, title, and interest in and to such AI-generated audio outputs vest with Xtendr and are validly licensed to NIVEA for unrestricted commercial use across digital, social, on-ground, and future campaigns.

    iv.   All outputs generated through the website, including personalized audio and visual assets, shall vest exclusively with NIVEA.

    v.   Participants irrevocably assign and transfer all rights, title, and interest (including moral rights, to the extent permissible by law) in their generated outputs to NIVEA, without any compensation.

  16. User Content & Consent

    i.   Participants confirm that any photograph or content uploaded by them is their own or that they have obtained all necessary permissions.

    ii.   Participants grant NIVEA a worldwide, perpetual, royalty-free, and irrevocable license to use, reproduce, modify, publish, distribute, and display their name, likeness, and generated outputs for promotional, marketing, and archival purposes, without further notice or compensation.

  17. AI & Technology Disclaimer

    i.   Certain elements of the Campaign involve automated and AI-assisted tools to generate personalized outputs.

    ii.   NIVEA and its partners do not guarantee the accuracy, quality, or suitability of the generated outputs.

    iii.   Participants acknowledge that outputs are algorithmically generated and may vary.

  18. Data Collection & Privacy

    Personal data collected during participation shall be processed in accordance with NIVEA India’s Privacy Policy and applicable data protection laws, including the Digital Personal Data Protection Act, 2023.

    Data shall be collected solely for the purpose of administering the Campaign and related communications.

    Storage and processing of data may be undertaken by authorised service providers, including Xtendr, acting on NIVEA’s behalf.

  19. Optional Marketing Consent

    Participants may separately opt in to receive marketing and promotional communications from NIVEA. Such consent is voluntary and independent of participation and may be withdrawn at any time.

  20. Disqualification

    NIVEA reserves the right to disqualify any participant who:

    i.   violates these Terms & Conditions;

    ii.   submits unlawful, offensive, or infringing content; or

    iii.   acts in a manner detrimental to NIVEA’s brand or reputation.

  21. Limitation of Liability

    NIVEA, its affiliates, and agencies shall not be liable for any direct or indirect loss, damage, or harm arising from participation, technical issues, or reliance on generated outputs.

  22. Modification & Withdrawal

    NIVEA reserves the right to modify these Terms & Conditions or suspend or withdraw the Campaign at any time without prior notice.

  23. Governing Law & Jurisdiction

    These Terms & Conditions shall be governed by and construed in accordance with Indian law. Courts at Mumbai shall have exclusive jurisdiction.
